Slaughter and May advised Punch Taverns plc on the operational and structural separation of its Spirit business, comprising approximately 800 managed pubs and 550 leased and tenanted pubs, by way of a demerger. The Demerger will create two distinct groups with different strategic, operational and economic characteristics and with separate management teams. Following the Demerger, Spirit will be one of the largest managed pub operators in the UK, will have a premium listing on the Official List and will be admitted to trading on the London Stock Exchange. Punch will retain its listing on the London Stock Exchange and will be the UK's second largest leased pub operator. It is expected that the Demerger, which is subject to Punch shareholder approval, will complete on or around 01 August 2011.
